OliveStone & Co.
Terms of Service
Effective August 2026
1. Agreement to these terms
These Terms of Service (“Terms”) are an agreement between you and OliveStone & Co. (“OliveStone,” “we,” “us” or “our”). They apply when you use olivestoneco.com (the “Site”), book a call, buy a strategy session or other service, complete an assessment, or use our client portal.
By using the Site, checking the box at checkout, or paying for a service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site or our services.
You must be at least 18 years old and able to enter into a binding agreement. If you act for a practice or company, you confirm you have authority to bind it to these Terms.
If a signed proposal, statement of work or engagement agreement (an “Engagement Agreement”) conflicts with these Terms, the Engagement Agreement controls for that engagement.
2. Our services
OliveStone provides healthcare business development and advisory services to physicians and practice owners.
| Service | What it is | Length and price |
|---|---|---|
| First call | A short introductory call about your practice | Free, about 20 minutes |
| Strategy session | A focused session on one question, challenge or decision, with a follow-up email and a follow-up call about 30 days later | 60 minutes, $250 |
| Launch | Planning and support to open a new practice | 6 weeks, from $10,000 |
| Grow | Growth, team and leadership support | Month to month or 90 days, quoted after the strategy session |
| Run | Workflow and operations optimization | 90-day engagement required, from $8,000 a month |
| Ongoing advisory | An optional standing partnership once your plan is moving | Quoted in your Engagement Agreement |
Prices on the Site are starting points. Your final scope, price and schedule for Launch, Grow and Run are set in your Engagement Agreement, based on the size of your team and facilities.
Strategy session credit. If you book Launch, Grow or Run within 7 days after your strategy session, the $250 session fee is credited toward that engagement. The credit applies once, cannot be exchanged for cash and expires after 7 days.
Assessments. After purchase, we ask you to complete a short practice assessment so we can prepare. Accurate, complete answers help us give better advice.
Third-party fees. Fees charged by others, such as state filing and publication fees, licensing fees or trusted partners’ fees, are not included and are billed separately.
3. Payment, refunds and rescheduling
Payment. Strategy sessions are paid in full at booking through Stripe. Engagements are paid on the schedule in your Engagement Agreement. Prices are in US dollars. You authorize us and Stripe to charge your payment method for the amounts you agree to.
Late payment. If an engagement payment is more than 10 days late, we may pause work until it is paid.
No refunds. All payments are final and non-refundable, including strategy sessions, engagement fees and deposits, because we reserve time and begin preparing as soon as you book. This does not limit any right you have under law that cannot be waived.
Rescheduling. You may reschedule a paid strategy session once, with at least 48 hours’ notice, by emailing hello@olivestoneco.com. A session missed without notice, cancelled with less than 48 hours’ notice, or needing a second reschedule is forfeited.
If we reschedule. If we need to reschedule, we will offer a new time promptly. If no new time works for you, we will refund that session.
Ending an engagement. Month-to-month engagements may be ended by either party with written notice before the next billing period. A 90-day engagement is a commitment for the full 90 days. Fees for work already done or periods already started are not refunded.
4. Your responsibilities and the limits of our advice
Your responsibilities. You agree to:
- give us accurate, complete information, including in your practice assessment;
- give our team reasonable access to people, schedules and documents we need for the engagement;
- make your own business decisions and decide which recommendations to put in place;
- not share patients’ protected health information with us unless we have signed a Business Associate Agreement; and
- follow all laws and professional rules that apply to your practice.
Not medical, legal, tax or financial advice. We advise on practice operations, growth, leadership and workflow. We do not provide medical, clinical, legal, tax, accounting, billing-compliance or investment advice. Consult licensed professionals for those matters. Nothing we provide creates a physician-patient, attorney-client or other professional relationship.
No guaranteed results. Results depend on many things outside our control, including your team, market, payers and how recommendations are carried out. Examples, case studies and goals we share describe possible outcomes, not promises. We do not guarantee any specific increase in revenue or patients, or decrease in costs, wait times or no-shows.
Business formation services. Where we help with business setup or formation, we coordinate filings and introduce trusted partners. You remain responsible for choosing your entity type, reviewing every filing and getting legal and tax advice.
5. Confidentiality, intellectual property and use of the Site
Confidentiality. We keep your non-public business information confidential and use it only to serve you. This does not apply to information that is public, that we already had, or that we must disclose by law. You agree to keep our non-public materials, pricing and methods confidential.
Our materials. The Site and everything on it, including text, design, logos, the OliveStone name, frameworks, templates, assessments and reports, belong to OliveStone or its licensors and are protected by copyright and trademark law.
Your license. When you have paid in full, you may use the deliverables we create for you, such as plans, reports and workflows, for your own practice. You may not resell them, publish them or use them to provide consulting to others. We keep ownership of our general methods, templates and know-how, and may reuse them without your confidential information.
Using the Site. You agree not to:
- copy, scrape or resell the Site’s content;
- interfere with the Site’s security or operation, or try to access accounts that are not yours;
- submit false information, or someone else’s information without permission; or
- use the Site for anything unlawful.
Client portal. Keep your login private. You are responsible for activity under your account. Tell us right away if you suspect unauthorized use.
Links. The Site may link to other websites. We are not responsible for their content or practices.
6. Disclaimers, limitation of liability and indemnification
Disclaimer. The Site and its content are provided “as is” and “as available.” Except as stated in these Terms or an Engagement Agreement, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We perform our services with reasonable care and skill.
Limitation of liability. To the fullest extent the law allows:
- OliveStone is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, patients or data; and
- our total liability for any claim relating to the Site or our services is limited to the fees you paid us for the specific service in the 3 months before the claim arose.
Some states do not allow these limits, so parts of them may not apply to you.
Indemnification. You agree to defend and hold harmless OliveStone and its owners, staff and contractors from claims, losses and costs (including reasonable attorneys’ fees) arising from your breach of these Terms, your use of the Site, your practice’s operations, or information you provide that you did not have the right to share.
Events outside our control. Neither party is responsible for delays caused by events beyond its reasonable control, such as illness, natural disasters, outages or government action.
7. Governing law, disputes, changes and contact
Governing law. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules.
Resolving disputes. If a dispute comes up, contact us first. We will try in good faith to resolve it within 30 days. If we cannot, the dispute will be decided in the state or federal courts located in New York County, New York, and both parties consent to those courts.
Changes. We may update these Terms. The new version applies from its effective date to future purchases and use of the Site. Changes do not affect an engagement already underway unless both parties agree in writing.
Other terms. If any part of these Terms cannot be enforced, the rest stays in effect. Our not enforcing a term is not a waiver. You may not transfer these Terms without our written consent. These Terms, our Privacy Policy and any Engagement Agreement are the entire agreement between us about their subject.
